M&T Bank Seeks High Court Review Of SEC Regulation Item 105 Disclosure Ruling

(December 11, 2020, 9:47 AM EST) -- WASHINGTON, D.C. — The U.S. Supreme Court should grant review of a Third Circuit U.S. Court of Appeals ruling in a securities class action lawsuit stemming from M&T Bank Corp.’s acquisition of Hudson City Bancorp Inc. because the appellate court’s holding pertaining to Item 105 of Securities and Exchange Commission Regulation S-K disclosure requirements has caused a split among the circuits as to what issuers of securities are required to disclose in offering documents and when such disclosures should be made, petitioners argue in a Nov. 15 petition for writ of certiorari filed in the Supreme Court (M&T Bank Corp., et al. v.
